MPORTANT NOTICE: The research and analysis provided under these Terms are for informational purposes only, are not tailored to any recipient or portfolio, and do not constitute investment advice, recommendations, or offers (or solicitations of offers) to buy or sell securities. Mach33 Financial Group LLC is not a registered investment adviser. All investment decisions carry risk of loss.
These Terms and Conditions (“Terms”) constitute a binding legal agreement between Mach33 Financial Group LLC (“Mach33,” “we,” or “Provider”), a Delaware limited liability company with principal offices at 7901 4th St N #31262, St. Petersburg, FL 33702, and the individual or entity completing the online subscription process (“Subscriber” or “you”).
By clicking "I Agree," completing the checkout process, or accessing the Research Services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
1. Research Services
Mach33 provides institutional-grade space industry research, intelligence, and analysis (collectively, "Research Services") through its online subscription platform. Specific deliverables vary by subscription tier and may include:

Weekly — Market analysis with supporting financial models.

Monthly — Institutional-grade deep-dive reports of 10,000 words or more, with full financial models.

Quarterly — A SpaceX financial update including a full refresh of the Gigamodel: a 500-variable, bottoms-up SpaceX financial model built for scenario analysis and Monte Carlo simulation.
Specific deliverables for each tier are as set out in Section 3. Mach33 reserves the right to update, modify, or discontinue specific research outputs with reasonable notice, provided the overall cadence and character of the Research Services is maintained.
2. Acceptance and Eligibility
2.1 Eligibility. Research Services are available to institutional investors, investment professionals, and accredited entities only. By subscribing, you represent that you are accessing Research Services in a professional capacity and not as a retail consumer of investment products.
2.1A Right to Refuse Service. Mach33 reserves the right, in its sole discretion and to the maximum extent permitted by applicable law, to refuse service to any prospective subscriber, decline any subscription application, decline to renew any subscription, or limit access to the Research Services for any lawful reason.
2.2 Acceptance. These Terms are effective upon your completion of the online subscription checkout. A copy of these Terms will be provided to your registered email address upon completion.
2.3 Updates to Terms. Mach33 may update these Terms from time to time. Material changes will be communicated by email to your registered address not less than 30 days prior to taking effect. Continued use of Research Services following the effective date of any update constitutes acceptance of the revised Terms.
3. Subscription Tiers and Pricing

3.1 Founding Member Tier. The Founding Member tier is available to a maximum of thirteen (13) subscribers on a first-come, first-served basis. Founding Members receive a lifetime price lock at their subscribed seat count, valid for so long as the subscription is maintained continuously without interruption. The price lock and Founding Member status terminate permanently upon cancellation, non-renewal, or lapse; there is no reinstatement under any circumstances. Mach33 will notify you at checkout if the Founding Member tier is no longer available.
3.2 Monthly Subscribers. Monthly subscriptions are billed monthly but are subject to an initial twelve (12) month commitment term commencing on the subscription start date. During the initial commitment term, Subscriber remains responsible for all subscription fees due for the remainder of the commitment period regardless of cancellation, suspension, or non-use of the Research Services.
3.3 Enterprise. Enterprise subscriptions are subject to a separate negotiated agreement and are not available through online checkout. Contact Mach33 to initiate an enterprise engagement.
4. Fees and Payment
4.1 Billing. Subscription fees are billed in advance: monthly subscribers are billed on the same calendar date each month; annual and Founding Member subscribers are billed annually on the anniversary of their subscription start date. All amounts are due immediately upon invoice.
4.2 Payment Processing. Payments are processed through Mach33’s third-party payment processor. By completing checkout, you authorize Mach33 and its payment processor to charge your designated payment method for all applicable subscription fees on a recurring basis. You agree to maintain valid payment information on file at all times.
4.3 Failed Payments. If a payment fails, Mach33 will attempt to reprocess the charge on days 3, 7, and 14 following the original due date. If payment is not successfully collected within 14 days, access to Research Services will be suspended. Access will be restored promptly upon receipt of full payment. Suspended periods do not extend the subscription term.
4.4 Late Interest. Outstanding balances unpaid after 30 days will accrue interest at 1.5% per month (or the maximum rate permitted by applicable law, if lower), compounded monthly from the original due date.
4.5 Taxes. All fees are exclusive of applicable taxes. Subscriber is responsible for all sales, use, goods and services, harmonized sales, value-added (including VAT and GST), withholding, or similar taxes, levies, or duties imposed by any jurisdiction arising from or in connection with the subscription (“Taxes”), except for taxes assessed on Mach33’s net income. Where Mach33 is required by law to collect Taxes, such Taxes will be added to the applicable invoice. If Subscriber is required by applicable law to withhold any amounts from payments to Mach33, Subscriber shall gross up payments such that Mach33 receives the full invoiced amount net of any such withholding. Subscriber is solely responsible for determining its own tax obligations in its jurisdiction.
4.6 Fee Adjustments. Mach33 may adjust subscription fees upon renewal by providing not less than 60 days’ prior written notice. Founding Member subscribers are not subject to fee adjustments for so long as their price lock remains in effect pursuant to Section 3.1. For all other subscribers, continued use after the effective date of a fee adjustment constitutes acceptance of the revised fee.
4.7 No Refunds. All fees paid are non-refundable except as expressly required by applicable law. Mach33 does not offer pro-rated refunds upon cancellation, suspension, or termination of access resulting from Subscriber’s breach of these Terms, including unauthorized sharing of Research Services, credential sharing, seat misuse, or other violations of Section 6.
5. Auto-Renewal and Cancellation
5.1 Auto-Renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual, as applicable) unless cancelled in accordance with Section 5.2. Annual and Founding Member subscriptions renew for successive 12-month periods. Monthly subscriptions are billed monthly during their initial twelve (12) month commitment term and thereafter renew monthly unless cancelled in accordance with Section 5.2.
5.2 Cancellation. Subscriber may cancel at any time through the subscriber portal or by written notice to Mach33 at support@33fg.com. Cancellation will prevent future renewals but does not relieve Subscriber of its obligation to pay fees due for the remainder of any applicable commitment period. Cancellation does not entitle Subscriber to a refund of any prepaid fees. Following cancellation, access to Research Services will continue until the end of the paid subscription period, unless earlier suspended or terminated in accordance with these Terms.
5.3 Non-Renewal Notice. For annual subscriptions, Mach33 will send a renewal reminder not less than 45 days before the renewal date. Subscribers who do not wish to renew must provide written notice of non-renewal at least 30 days prior to the renewal date.
5.4 Founding Member Lapse. If a Founding Member subscription lapses, is cancelled, or is not renewed within 30 days of expiry, the Founding Member tier and associated price lock are permanently forfeited and the subscriber will be subject to then-current standard pricing upon resubscription, subject to availability.
6. Access and Use
6.1 Authorized Use. Research Services are licensed solely for Subscriber’s internal research and investment decision-making purposes ("Authorized Use"). Research Services may not be used for any other purpose without Mach33’s prior written consent.
6.2 Named Users. Each seat entitles Subscriber to designate one specific, named individual ("Named User") to access the Research Services on a read-only basis. Named User credentials are personal and non-transferable. Subscriber must notify Mach33 promptly of any change in Named User status or any suspected unauthorized access. Subscriber assumes full responsibility for all activity under its Named User accounts.
6.3 Restrictions. Subscriber shall not:

Redistribute, republish, resell, or sublicense the Research Services or any portion thereof

Share login credentials or permit simultaneous or shared access beyond the designated Named Users

Remove or obscure any copyright, proprietary, or confidentiality notices

Use Research Services for any purpose other than the Authorized Use

Grant access to the Research Services to any third party without Mach33’s prior written consent
-
Create derivative works or combine Research Services with third-party data to create competing research products or databases
-
Use automated systems, scripts, bots, or scrapers to extract, download, or systematically access Research Services content
-
Reproduce Research Services content in any client-facing, published, or externally distributed materials without prior written consent
6.4 Permissible Internal Sharing. Subscriber may share excerpts of Research Services content with its own employees, officers, and directors for internal discussion and decision-making purposes, provided such sharing does not constitute redistribution and is subject to appropriate internal confidentiality controls.
7. Intellectual Property
7.1 Ownership. All Research Services, including reports, analysis, models, data compilations, and content, remain the exclusive property of Mach33 and are protected by copyright and other applicable intellectual property laws. These Terms grant Subscriber a limited, non-exclusive, non-transferable, revocable license to access and use the Research Services during the subscription term solely in accordance with Section 6.
7.2 Data Sources. Subscriber acknowledges that Research Services incorporate publicly available information and Mach33’s proprietary analytical work. Mach33 does not claim ownership of underlying public domain data. Mach33’s rights attach to its selection, synthesis, and analytical expression of such data.
7.3 Feedback. If Subscriber provides feedback or suggestions regarding the Research Services, Mach33 may use such feedback without restriction or compensation to Subscriber.
7.4 Proprietary Architecture. Subscriber acknowledges that the analytical methods, models, weighting systems, and AI-assisted research tools underlying the Research Services constitute Mach33’s proprietary trade secrets and confidential information, and are not disclosed or licensed under these Terms.
8. Confidentiality
Subscriber agrees to maintain the confidentiality of all Research Services content and any non-public information received from Mach33 in connection with the subscription, and to use such information solely as permitted under these Terms. Subscriber shall not disclose Mach33’s confidential information to any third party without Mach33’s prior written consent. These confidentiality obligations survive termination or expiry of the subscription for a period of three (3) years.
9. Data Protection and Privacy
9.1 Data Controller. Mach33 Financial Group LLC acts as data controller in respect of personal data collected from Subscriber and its Named Users in connection with the subscription (including name, email address, organization, payment information, and platform usage data). Mach33 processes such data to administer the subscription, provide the Research Services, communicate with Subscriber, and comply with its legal obligations.
9.2 International Transfers. Personal data may be transferred to and processed in the United States, Canada, and other jurisdictions where Mach33 or its service providers operate. Where such transfers involve personal data originating from the European Economic Area, United Kingdom, or other jurisdictions with cross-border transfer restrictions, Mach33 will implement appropriate safeguards in accordance with applicable data protection law, including where required, standard contractual clauses approved by the relevant supervisory authority.
9.3 Data Subject Rights. Where applicable data protection law grants Subscriber or its Named Users rights in respect of their personal data (including rights of access, rectification, erasure, restriction, portability, or objection), such rights may be exercised by contacting Mach33 at the address set out in Section 14.6. Mach33 will respond to valid requests within the timeframes required by applicable law.
9.4 Privacy Policy. Mach33’s full Privacy Policy, which forms part of these Terms, governs the collection, use, and processing of personal data in connection with the Research Services. The Privacy Policy is available at https://research.33fg.com/privacy-policy and may be updated from time to time in accordance with its terms. In the event of any conflict between these Terms and the Privacy Policy with respect to personal data, the Privacy Policy shall prevail.
9.5 Subscriber as Data Controller. Where Subscriber provides Mach33 with personal data relating to its Named Users or other individuals, Subscriber represents that it has a lawful basis for such disclosure and that the individuals concerned have been informed of the disclosure in accordance with applicable data protection law. Subscriber shall indemnify Mach33 against any claims arising from Subscriber’s failure to comply with its own data protection obligations.
10. Disclaimers and Limitations
10.1 No Investment Advice. Research Services are provided for informational purposes only and do not constitute investment advice, recommendations, or an offer or solicitation to buy or sell any security. Subscriber acknowledges that all investment decisions are made at its sole discretion and risk. Mach33 is not a registered investment adviser, financial adviser, or equivalent regulated person under the laws of any jurisdiction, including without limitation the Investment Advisers Act of 1940 (United States), the Financial Services and Markets Act 2000 (United Kingdom), or any equivalent legislation in Subscriber’s jurisdiction. Nothing in these Terms or the Research Services is intended to constitute a financial promotion, regulated communication, or investment advice for the purposes of any applicable law.
10.2 No Warranties. Research Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including without limitation warranties of accuracy, completeness, timeliness, reliability, merchantability, or fitness for a particular purpose. Mach33 makes no representation that Research Services are error-free or that access will be uninterrupted.
10.3 No Liability. To the maximum extent permitted by applicable law, Mach33 shall have no liability to Subscriber under or in connection with these Terms. In no event shall Mach33 be liable for any indirect, consequential, special, incidental, punitive, or exemplary damages, including lost profits or data, even if advised of the possibility of such damages.
10.4 Information Accuracy. Mach33 exercises professional diligence in preparing Research Services using industry-standard methodologies. However, Subscriber acknowledges that: (a) research involves analysis of complex, rapidly evolving markets where information changes frequently; (b) valuations and forecasts are based on assumptions that may not materialize; (c) Subscriber should integrate Research Services with its own independent analysis and judgment; and (d) Mach33 cannot guarantee specific outcomes or future events.
10.5 Forward-Looking Statements. Any projections, forecasts, or forward-looking statements in the Research Services represent the opinions and beliefs of Mach33’s personnel based on available information and are necessarily speculative. They do not constitute guarantees of future performance or results.
10.6 Third-Party Data. Research Services may incorporate data from third-party sources. Mach33 makes no representation as to the accuracy of such data and disclaims all liability for errors or omissions therein.
11. Compliance
11.1 Legal Compliance. Subscriber represents that its use of Research Services shall comply with all applicable laws and regulations, including securities laws and regulations governing investment advisers and institutions in Subscriber’s jurisdiction.
11.2 Independent Analysis. Subscriber represents that it will conduct its own independent analysis and due diligence before making investment decisions and will not rely solely on Research Services.
11.3 Regulatory Status. Subscriber acknowledges that Mach33 is not registered as an investment adviser and that Research Services do not constitute investment advice under applicable securities laws.
12. Indemnification
12.1 Subscriber Indemnification. Subscriber agrees to indemnify, defend, and hold harmless Mach33 and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or connected with: (a) Subscriber’s breach of these Terms; (b) unauthorized use or distribution of Research Services; (c) investment decisions made by Subscriber; or (d) Subscriber’s violation of applicable law.
12.2 Mutual Indemnification. Each party shall indemnify the other against third-party claims arising from its breach of its confidentiality obligations under Section 8.
13. Termination
13.1 Termination for Cause. Mach33 may suspend or terminate Subscriber’s access to Research Services immediately upon written notice if: (a) Subscriber materially breaches these Terms and fails to cure such breach within 15 days of written notice; (b) Subscriber’s payment is delinquent by more than 30 days; or (c) Mach33 reasonably determines that continued access poses a risk to Mach33’s intellectual property or legal obligations.
Notwithstanding the foregoing, Mach33 may immediately suspend or terminate Subscriber’s access to the Research Services, without notice, cure period, or refund, if Mach33 reasonably believes that Subscriber or any Named User has: (i) shared login credentials with unauthorized persons; (ii) exceeded purchased seat limits; (iii) redistributed, reproduced, or disclosed Research Services content in violation of these Terms; (iv) provided access to Research Services to third parties; or (v) otherwise misappropriated or infringed Mach33 intellectual property rights.
Any such conduct constitutes a material breach of these Terms, and Subscriber acknowledges that damages arising from unauthorized distribution of Research Services may be difficult to quantify and may cause irreparable harm to Mach33.
13.2 Effect of Termination. Upon termination or expiry, Subscriber’s access to Research Services shall immediately cease. All provisions that by their nature should survive termination shall do so, including Sections 7, 8, 9, 10, 11, 12, and 14.
13.3 Mach33 Termination. Mach33 may terminate these Terms and discontinue the Research Services generally upon sixty (60) days’ written notice to Subscriber. In such event, Mach33 will refund any prepaid fees attributable to the unused portion of the subscription term on a pro-rated basis.
For the avoidance of doubt, Mach33’s exercise of its rights under Section 2.1A (Right to Refuse Service), including a decision not to accept a subscription or not to renew an existing subscription, shall not entitle Subscriber to any refund other than amounts attributable to periods following the effective termination date for which Subscriber has already prepaid.
14. General Provisions
14.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Notwithstanding the foregoing, nothing in these Terms shall exclude or limit any rights Subscriber may have under the mandatory laws of the jurisdiction in which Subscriber is domiciled that cannot be waived by contract (“Mandatory Local Law”). To the extent of any conflict between these Terms and Mandatory Local Law, Mandatory Local Law shall prevail to the minimum extent necessary to ensure compliance, and the remaining provisions of these Terms shall continue in full force and effect.
14.2 Dispute Resolution. Any dispute arising out of or relating to these Terms, including any question regarding its existence, validity, or termination, shall be resolved through binding arbitration as follows: (a) if Subscriber is domiciled in the United States, arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules, and shall take place in New York, New York; (b) if Subscriber is domiciled outside the United States, arbitration shall be administered by the International Chamber of Commerce (“ICC”) in accordance with its Rules of Arbitration, and shall take place in New York, New York, unless the parties agree otherwise in writing. In all cases, the arbitration shall be conducted in the English language, and each party shall bear its own costs and attorney fees unless the arbitral tribunal determines otherwise. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights without waiving its right to arbitration.
14.3 Entire Agreement. These Terms, together with any applicable Order Form or checkout confirmation, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, representations, and understandings.
14.4 Amendments. Mach33 may amend these Terms in accordance with Section 2.3. Amendments to individual subscriptions require written agreement of both parties.
14.5 Assignment. Subscriber may not assign or transfer these Terms or any rights hereunder without Mach33’s prior written consent. Mach33 may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.
14.6 Notices. Operational notices, including subscription administration, billing communications, renewal reminders, and service-related updates, may be sent by Mach33 to Subscriber’s registered email address. Subscriber may provide operational notices to Mach33, including cancellation requests and billing inquiries, by email to support@33fg.com.
Legal notices to Mach33 shall be sent to: Mach33 Financial Group LLC, 7901 4th St N #31262, St. Petersburg, FL 33702, with a copy by email to support@33fg.com or such other email address as Mach33 may designate from time to time.
14.7 Severability. If any provision of these Terms is found to be unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
14.8 Waiver. No failure or delay by either party in exercising any right under these Terms shall constitute a waiver of that right.
14.9 Relationship of Parties. The parties are independent contractors. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between the parties.
SUBSCRIBER ACCEPTANCE
By completing checkout and clicking “I Agree,” Subscriber confirms that it has read, understood, and agrees to be bound by these Terms and Conditions.
